IMPORTANT NOTICE

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE IMPORTANT PROVISIONS ABOUT CARPOOLING, CHILDREN, ASSUMPTION OF RISK, RELEASE OF CLAIMS, INDEMNIFICATION, LIMITATION OF LIABILITY, AND DISPUTE RESOLUTION.

TripTether is a software platform designed to help parents and families coordinate carpools and other family logistics.

TRIPTETHER DOES NOT PROVIDE TRANSPORTATION. TRIPTETHER DOES NOT SELECT, ASSIGN, SCREEN, VERIFY, RECOMMEND, OR ENDORSE DRIVERS OR RIDERS.

Parents and other users independently decide whether to participate in a carpool, whom to trust, whether to drive, and whether to allow a child to ride with another user.

By creating an account, clicking to accept these Terms, adding a child or other Rider, participating in a carpool, or otherwise using the Service, you acknowledge that you have read and understood these Terms and agree to be legally bound by them to the fullest extent permitted by applicable law.

If you do not agree to these Terms, do not create an account or use the Service.

1. ACCEPTANCE OF TERMS

TripTether (“TripTether,” “we,” “us,” or “our”) is owned and operated by Malinda Walters, an individual, doing business as TripTether (the “Owner”).

These Terms of Service, Assumption of Risk, and Liability Release (the “Agreement” or “Terms”) govern your access to and use of the TripTether website, application, software, features, communications, and related services (collectively, the “Service”).

By checking an acceptance box, clicking an “I Agree” button, creating an account, adding a Rider, joining or creating a carpool, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, you may not use the Service.

If we materially revise these Terms, we may require you to affirmatively accept the revised Terms before continuing to use the Service. The version of the Terms that you accepted, together with the date and time of acceptance, may be retained in our records.

2. ELIGIBILITY AND ACCOUNT RESPONSIBILITY

2.1 Adults Only. You must be at least eighteen (18) years old to create an account or independently accept these Terms. TripTether does not permit individuals under eighteen (18) to independently create an account or accept these Terms.

2.2 Parent or Guardian Responsibility. If you create an account, add family members, add a child, or otherwise provide information concerning another person, you represent that you have the legal authority to do so. You are responsible for activities conducted through your account and for the accuracy of information you provide concerning yourself and individuals you add to your account or household.

2.3 Minor Riders. A person under eighteen (18) may participate in the Service only as a Rider under the responsibility of a parent or legal guardian, subject to Section 13.

3. WHAT TRIPTETHER IS

TripTether is a technology platform that helps families organize and coordinate carpools and other family logistics.

Depending on the features offered, the Service may allow users to create or participate in groups; organize carpool driving days; identify potential drivers and Riders within a group; maintain participant rosters; coordinate pickup and drop-off information; exchange messages or other information; store addresses or other location information for coordination purposes; and organize other family-related activities.

The specific features offered by TripTether may change over time.

4. WHAT TRIPTETHER IS NOT

4.1 TripTether Is Not a Transportation Provider. TripTether is not a transportation company, transportation carrier, ride-sharing service, taxi service, common carrier, public carrier, school transportation provider, or vehicle-for-hire service.

TripTether does not provide rides; transport children or adults; own or operate vehicles for carpools; employ drivers; contract with drivers to provide transportation; dispatch drivers; supervise drivers; control vehicles; control routes; determine who drives; determine which child rides with which driver; guarantee that a ride will occur; guarantee that a driver will appear; determine whether a person is legally or otherwise qualified to drive; take custody of children; or supervise children during transportation.

Every driver, Rider, parent, and other participant is an independent user. TripTether is not a party to any transportation arrangement, carpool, driving day, pickup, drop-off, trip, or other transportation activity arranged using the Service.

4.2 No Agency Relationship. No driver, Rider, parent, or other user is an employee, agent, representative, contractor, joint venturer, partner, or fiduciary of TripTether merely because that person uses the Service. Nothing in these Terms creates a partnership, joint venture, agency, employment, franchise, or fiduciary relationship between TripTether and any user. Users have no authority to make representations, commitments, or agreements on behalf of TripTether.

5. INDEPENDENT SELECTION AND USER-TO-USER RESPONSIBILITY

TripTether provides tools that may allow users to communicate and coordinate with one another.

Each parent or legal guardian is solely responsible for deciding whether to participate in a carpool and whom to trust with transportation involving that parent's child.

Users independently determine whether to participate in a carpool; whether to drive; whether to accept a ride; who will drive; who will ride; whether a particular driver is appropriate; whether a particular vehicle is appropriate; whether the driver has appropriate insurance; whether the driver's license is valid; whether the vehicle is properly maintained; whether appropriate child restraints are available; whether the driver is legally permitted to operate the vehicle; and whether a particular transportation arrangement is appropriate for a child.

TripTether does not make these decisions for you.

Any transportation arrangement is an agreement or arrangement between the participating users, not between a user and TripTether.

6. NO SCREENING, VERIFICATION, OR ENDORSEMENT

TripTether does not currently perform, and does not represent that it performs, background checks, criminal-history checks, driving-record checks, license verification, insurance verification, vehicle inspections, drug or alcohol testing, identity verification, parenting assessments, custody verification, or other screening of users unless TripTether expressly states otherwise for a particular feature.

TripTether does not guarantee or represent that any user is who they claim to be; is the age they claim to be; has a valid driver's license; has appropriate insurance; is legally permitted to drive; owns or has legal authority to use a vehicle; has a safe driving history; operates a safe vehicle; has appropriate judgment; is trustworthy; is suitable to transport a child; is suitable to be transported with a child; or will comply with these Terms or applicable law.

The appearance of a user's name, profile, information, participation history, group membership, or other information on the Service does not constitute a verification, recommendation, endorsement, certification, or guarantee by TripTether.

A parent's decision to trust another user remains solely that parent's decision.

7. DRIVER REQUIREMENTS AND RESPONSIBILITIES

If you drive as part of a carpool coordinated through the Service, you agree that you are solely responsible for your driving and transportation activities.

You represent and agree that, whenever you drive: you possess a valid driver's license appropriate for the vehicle you operate; you are legally authorized to operate the vehicle; you maintain liability insurance as required by applicable law; you maintain any other insurance legally required for the vehicle or transportation activity; you have the legal right to operate the vehicle you use; the vehicle is reasonably maintained and in safe operating condition; you comply with applicable vehicle registration, inspection, and safety requirements; you comply with applicable child-restraint and passenger-safety requirements; you do not transport more passengers than the vehicle may legally or safely accommodate; you do not knowingly operate a vehicle subject to an unresolved safety recall that materially affects safe operation; you do not drive while impaired by alcohol, drugs, medication, fatigue, illness, or any other condition that makes driving unsafe; you do not text, use a handheld phone, or engage in other distracting behavior while driving in violation of applicable law or safe-driving practices; you comply with all applicable traffic laws and regulations; you are responsible for determining whether your automobile insurance covers passengers who are not members of your immediate household or family; and you comply with any other legal requirements applicable to your driving.

TripTether does not verify these matters.

8. DRIVING SAFETY EXPECTATIONS

Users who participate as drivers are expected to follow basic safe-driving practices. These expectations are provided as general safety guidelines and do not constitute transportation supervision by TripTether.

Drivers should remain attentive to the road; avoid distracted driving; avoid texting or handheld phone use while driving; never drive while impaired; avoid driving while dangerously fatigued or drowsy; obey speed limits and other traffic laws; use appropriate seat belts and child restraint systems; transport no more passengers than permitted by law or safely accommodated by the vehicle; maintain the vehicle in safe operating condition; and immediately stop driving if circumstances make continued driving unsafe.

TripTether does not monitor, supervise, inspect, or enforce these safety expectations.

If you have a serious safety concern regarding another user, you should stop participating in transportation with that user and, where appropriate, contact TripTether at malindawalters@wildwoodroots.com. In an emergency, call 911 or the applicable local emergency service.

9. ASSUMPTION OF RISK

You understand that using the Service and participating in carpools or other transportation activities may involve significant risks.

These risks may include, without limitation: motor vehicle collisions; traffic accidents; injury; death; disability; property damage; exposure to negligent, reckless, unlawful, or intentional conduct by another person; unsafe driving; distracted driving; drowsy driving; impaired driving; failure to use appropriate child restraints; vehicle defects or maintenance problems; weather conditions; traffic conditions; road conditions; delays; missed pickups or drop-offs; incorrect addresses or schedules; unauthorized use of information; disputes between users; acts or omissions of passengers; acts or omissions of third parties; and other risks associated with transportation and interactions with other users.

You voluntarily assume the risks associated with your use of the Service and your participation in transportation arrangements made through the Service, to the fullest extent permitted by applicable law, including risks arising from the acts or omissions of other users.

You acknowledge that TripTether cannot control the condition of vehicles, the conduct or competence of drivers, traffic, weather, road conditions, or what occurs during transportation.

10. NO INSURANCE PROVIDED BY TRIPTETHER

TripTether does not provide automobile, transportation, personal injury, medical, liability, property, or other insurance coverage to users, drivers, Riders, children, vehicles, families, or other participants.

Drivers are solely responsible for maintaining legally required insurance.

Drivers should determine whether their automobile insurance policy provides coverage for transporting passengers who are not immediate family members or household members and whether any additional coverage is appropriate.

TripTether makes no representation regarding the existence, adequacy, applicability, limits, exclusions, or enforceability of any user's insurance.

The existence of insurance does not make TripTether a transportation provider and does not transfer responsibility for a user's conduct to TripTether.

11. CARPOOL ARRANGEMENTS ARE BETWEEN USERS

Any agreement concerning a carpool, including agreements concerning driving schedules, pickup locations, drop-off locations, children, drivers, Riders, vehicles, expenses, timing, cancellations, substitutions, communications, or other transportation matters is solely between the participating users.

TripTether is not a party to those arrangements.

TripTether is not responsible for a user's failure to appear, cancellation, delay, failure to communicate, failure to drive, failure to pick up or drop off a child, change of plans, or failure to comply with an agreement made with another user.

Users are responsible for resolving disputes concerning their own transportation arrangements.

12. USER ACCOUNTS AND SECURITY

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

You agree to provide accurate and current information; maintain accurate information for Riders you add; protect your password and account credentials; promptly notify TripTether of suspected unauthorized account access; not impersonate another person; not create an account using false information; not allow another person to use your account in a manner that violates these Terms; and promptly update information that is no longer accurate.

You are responsible for reviewing information associated with your account and correcting inaccurate information when reasonably possible.

13. MINOR RIDERS — PARENT AND LEGAL GUARDIAN TERMS

13.1 Authority. Only a parent or legal guardian, or another person with legally sufficient authority, may add a Minor Rider. By adding a Minor Rider, you represent that you are the Minor Rider's parent or legal guardian, or otherwise have legally sufficient authority; you have authority to provide the information you provide concerning the Minor Rider; you have authority to make decisions concerning the Minor Rider's participation in the Service to the extent permitted by law; and you have reviewed these Terms and understand the risks associated with transportation arranged through the Service.

13.2 Parent Responsibility. You are responsible for deciding whether your Minor Rider should participate in the Service or any particular carpool. You are responsible for independently evaluating the driver, vehicle, proposed transportation arrangement, destination, timing, pickup and drop-off arrangements, and whether the transportation arrangement is appropriate for the Minor Rider. TripTether does not make these decisions for you.

13.3 Parent's Own Release. To the fullest extent permitted by applicable law, you release the Released Parties identified in Section 18 from claims that you personally may have arising out of or relating to your Minor Rider's participation in the Service or transportation arranged through the Service, except for claims that applicable law does not permit you to release.

13.4 Minor's Claims. To the maximum extent permitted by applicable law, you also agree to the release provisions in these Terms on behalf of the Minor Rider. However, nothing in these Terms is intended to waive, release, limit, or impair any claim or right that applicable law prohibits a parent or guardian from waiving, releasing, or limiting on behalf of a minor. Where applicable law does not permit a parent or guardian to release a Minor Rider's claim, that claim is not released by this Agreement.

13.5 Parent's Responsibility for Information. You are responsible for providing information reasonably necessary for a driver to safely transport the Minor Rider, including, where appropriate, information concerning allergies, medications, physical limitations, disabilities, behavioral or communication considerations, emergency contacts, child-restraint requirements, and other safety-relevant information. You should provide such information directly to the driver when appropriate. TripTether does not provide medical advice, medical supervision, childcare, or transportation supervision.

13.6 Emergency Medical Treatment. If a Minor Rider experiences a medical emergency during transportation, the driver or another responsible adult should call 911 or obtain appropriate emergency assistance. To the extent permitted by law, you authorize a driver or responsible adult transporting your Minor Rider to seek reasonably necessary emergency medical assistance if you cannot be reached. This authorization does not make TripTether a medical provider, caregiver, transportation provider, or supervisor of the Minor Rider.

14. INFORMATION CONCERNING CHILDREN AND FAMILIES

The Service may permit users to provide information concerning family members and Minor Riders, including names, addresses, phone numbers, schedules, pickup and drop-off information, and other information necessary to coordinate carpools.

You are responsible for ensuring that you have the authority to provide information about another person. You agree not to provide information that you are prohibited by law or agreement from providing.

TripTether's collection, use, storage, disclosure, and protection of personal information are also governed by the TripTether Privacy Policy, available at triptether.app/privacy-policy. The Privacy Policy is incorporated into these Terms by reference.

15. FAMILY INFORMATION AND PRIVATE INFORMATION

Because the Service may contain home addresses, schedules, phone numbers, children's names, and other information that users may reasonably consider private, you agree to use information obtained through the Service only for legitimate purposes related to the coordination of the applicable family, group, carpool, trip, or other activity.

You may not use another user's information to harass; threaten; stalk; intimidate; advertise; solicit unrelated business; sell or distribute information; create unauthorized contact lists; publish the information publicly; contact a person for an unrelated purpose; facilitate unlawful conduct; or otherwise misuse the information.

You may not copy, redistribute, publish, sell, or disclose another user's private information except as reasonably necessary for the purpose for which the information was provided or as otherwise permitted by law.

16. USER CONTENT AND COMMUNICATIONS

The Service may allow users to submit, transmit, post, or exchange information, messages, schedules, addresses, photographs, comments, or other content (“User Content”).

You are responsible for the accuracy, legality, and appropriateness of User Content that you provide.

You agree not to use the Service to provide false or misleading information; impersonate another person; harass or threaten another person; facilitate unlawful activity; distribute malicious software; interfere with the operation of the Service; attempt unauthorized access; collect information about users for unrelated purposes; transmit content that violates another person's legal rights; or violate applicable law.

TripTether may remove or restrict access to User Content that it reasonably believes violates these Terms, applicable law, or the safety or operation of the Service.

TripTether does not undertake an obligation to monitor all communications or User Content and does not guarantee that inappropriate or unlawful content will always be identified or removed.

17. REPORTING SAFETY CONCERNS

TripTether may provide tools or contact methods for reporting safety concerns, inappropriate conduct, or violations of these Terms.

You understand that TripTether cannot investigate every report; cannot guarantee a particular response to a report; cannot guarantee that a reported user will be removed; cannot guarantee that future conduct will not occur; and receipt of a report does not create a duty to provide transportation, supervision, protection, investigation, or intervention.

If you believe there is an immediate threat to someone's safety, contact 911 or the appropriate emergency service rather than relying on TripTether.

18. RELEASE OF CLAIMS

18.1 Released Parties. “Released Parties” means TripTether, the Owner, and their respective current and former members, managers, officers, directors, employees, agents, representatives, contractors, service providers, licensors, affiliates, successors, and assigns, and persons or entities that contributed to the creation, development, maintenance, hosting, or operation of the Service.

18.2 Release. To the fullest extent permitted by applicable law, you release and discharge the Released Parties from claims, demands, causes of action, damages, liabilities, losses, costs, and expenses arising out of or relating to your use of the Service; your participation in a carpool; transportation provided by another user; acts or omissions of another user; acts or omissions of a driver; acts or omissions of a Rider; acts or omissions of third parties; vehicle accidents; injury; death; property damage; inaccurate information supplied by users; missed or changed transportation arrangements; interactions between users; and other risks associated with using the Service or transportation arranged through the Service.

This release applies to claims based on negligence, contract, tort, statute, or other legal theory, to the maximum extent such claims may lawfully be released.

18.3 Claims That Cannot Be Released. Nothing in these Terms is intended to release or limit claims that applicable law does not permit to be released or limited. Without limiting the foregoing, this Agreement does not purport to release liability to the extent applicable law prohibits release of claims arising from a Released Party's fraud, gross negligence, recklessness, willful misconduct, intentional injury, or other conduct for which liability cannot legally be waived or limited.

18.4 Unknown Claims. To the fullest extent permitted by applicable law, you expressly waive the protections of California Civil Code Section 1542 and any similar law of another jurisdiction, to the extent such waiver is legally effective. You acknowledge that you may later discover facts different from or in addition to those you presently know or believe to be true concerning a claim, and you nevertheless intend this release to apply to the fullest extent permitted by law.

19. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Released Parties from and against claims, demands, actions, liabilities, losses, damages, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: your use of the Service; your participation in a carpool; your operation of a vehicle in connection with the Service; your acts or omissions as a driver; your acts or omissions concerning a Minor Rider; your violation of these Terms; your violation of applicable law; your violation of another person's rights; User Content you provide; information you provide concerning another person; your misuse of another user's information; your failure to maintain legally required insurance; your failure to maintain a valid driver's license or legal authority to drive; your failure to comply with applicable vehicle or traffic laws; your breach of representations made in connection with your account; or your negligent, reckless, intentional, or unlawful conduct.

This indemnification obligation does not require you to indemnify a Released Party to the extent the applicable claim results from that Released Party's own conduct for which indemnification is prohibited by applicable law.

TripTether may, at its own expense, assume control of the defense of a matter otherwise subject to indemnification. If TripTether does so, you agree to reasonably cooperate with that defense.

This Section survives termination of these Terms.

20. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TripTether and the Released Parties disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, security, and suitability.

TripTether does not warrant that the Service will meet your requirements; the Service will be uninterrupted; the Service will be timely; the Service will be error-free; information provided through the Service will be accurate or current; addresses will be accurate; schedules will be accurate; messages will be delivered; another user will respond; a driver will appear; a Rider will appear; a carpool will occur; a transportation arrangement will be completed; a vehicle will be safe; a driver will be qualified; a user will be trustworthy; a user will comply with these Terms; reported conduct will be investigated or resolved; or any errors will be corrected.

TripTether does not provide transportation services and does not control the quality, safety, timing, legality, or completion of transportation arranged between users. You use the Service at your own risk.

21. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, the Released Parties will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of or inability to use the Service; transportation arranged through the Service; interactions with other users; User Content; loss of data; loss of profits; loss of business opportunities; property damage; or other consequential losses.

To the extent liability cannot legally be excluded, the Released Parties' aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to TripTether for the Service during the twelve (12) months preceding the event giving rise to the claim; or (b) five hundred dollars ($500).

Nothing in this Section is intended to limit liability to the extent such limitation is prohibited by applicable law. Nothing in this Section limits liability for conduct that applicable law does not permit a party to limit, including where applicable fraud, gross negligence, recklessness, or willful misconduct.

22. FEES, FREE ACCESS, AND FUTURE FEATURES

The Service is currently offered free of charge.

TripTether may introduce paid subscriptions, premium features, transaction fees, or other charges in the future. If a paid service is introduced, TripTether will provide applicable pricing and billing terms before charging you for that service.

Additional terms may apply to specific paid products or features.

TripTether may also provide a free version of the Service supported by advertising or other commercial arrangements. TripTether does not control or endorse third-party advertisers or their products and services. Your interactions with advertisers are solely between you and the applicable advertiser.

23. SERVICE CHANGES AND AVAILABILITY

TripTether may modify, suspend, discontinue, or restrict any portion of the Service at any time.

TripTether may add, remove, modify, or discontinue features without liability to users, except to the extent otherwise required by applicable law.

The Service may experience interruptions, delays, outages, errors, or limitations associated with internet connectivity, telecommunications networks, hosting providers, mobile devices, software, or other systems.

TripTether does not guarantee continuous availability.

24. TERMINATION AND SUSPENSION

TripTether may suspend or terminate your account or access to the Service if you violate these Terms; provide materially false information; misuse another user's information; engage in threatening, harassing, abusive, or unlawful conduct; create a safety concern; attempt unauthorized access; interfere with the Service; your conduct creates risk to TripTether or other users; or TripTether reasonably determines that suspension or termination is necessary to protect the Service or its users.

TripTether may also terminate the Service or an account where required by law.

You may stop using the Service at any time.

Upon termination, your right to use the Service ends immediately.

Certain provisions of these Terms will survive termination, including provisions concerning assumption of risk, releases, indemnification, disclaimers, limitations of liability, dispute resolution, governing law, and any provisions that by their nature should survive.

25. PRIVACY AND DATA SECURITY

TripTether's collection and handling of personal information is described in the TripTether Privacy Policy.

TripTether may use reasonable administrative, technical, and organizational safeguards designed to protect information maintained through the Service.

However, no internet-based service can guarantee absolute security.

You acknowledge that information transmitted electronically may be subject to risks of unauthorized access, disclosure, alteration, loss, or destruction despite reasonable safeguards.

TripTether does not guarantee that the Service or information stored through the Service will be completely secure.

26. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR RIGHT TO HAVE A DISPUTE HEARD IN COURT.

26.1 Governing Law. Except to the extent applicable law requires otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. If you reside outside California, applicable law in your state or jurisdiction may provide rights or protections that cannot lawfully be waived by this Agreement.

26.2 Agreement to Arbitrate. Except for claims specifically excluded below, you and TripTether agree that disputes arising out of or relating to these Terms or the Service will be resolved through individual binding arbitration under the Federal Arbitration Act, rather than in court, to the fullest extent permitted by law. Either party may bring an individual qualifying claim in small claims court. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at www.adr.org. Unless otherwise required by applicable law or the applicable arbitration rules, arbitration may be conducted remotely by video conference or in a location reasonably convenient to the consumer. Each party will be responsible for its own attorneys' fees except where applicable law or the applicable arbitration rules provide otherwise.

26.3 Individual Proceedings Only. To the fullest extent permitted by applicable law, arbitration and any permitted court proceeding must be brought individually. You and TripTether waive the right to participate as a plaintiff or class member in any purported class, collective, consolidated, or representative action. Nothing in this Section waives rights that cannot lawfully be waived.

26.4 Claims Not Subject to Arbitration. Nothing in this Agreement requires arbitration of claims that applicable federal law makes non-arbitrable. Claims that may legally be brought in small claims court may be brought there instead of arbitration.

26.5 Arbitration Opt-Out. You may opt out of the arbitration and class-action waiver provisions by sending written notice to malindawalters@wildwoodroots.com within thirty (30) days after first accepting these Terms. Your opt-out notice must identify your name, account email address, and clear statement that you are opting out of the arbitration and class-action waiver provisions. Opting out of arbitration does not affect the remainder of these Terms or your ability to use the Service.

26.6 Venue for Non-Arbitrable Disputes. For any claim not subject to arbitration under this Agreement, including a small claims court matter or a claim excluded under Section 26.4, you and TripTether consent to the exclusive jurisdiction and venue of the state or federal courts located in Alameda County, California.

26.7 The arbitration provisions in this Agreement are intended to operate only to the extent permitted by applicable law.

27. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

If a provision cannot legally be enforced in a particular jurisdiction, that provision will be modified or limited only to the extent necessary to make it enforceable in that jurisdiction, while preserving the parties' intended allocation of risk to the maximum extent legally permitted.

28. NO WAIVER

TripTether's failure to enforce any provision of these Terms does not constitute a waiver of that provision or TripTether's right to enforce it later. Any waiver must be express and in writing.

29. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without TripTether's prior written consent, except where applicable law provides otherwise. TripTether may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, corporate reorganization, or similar transaction.

30. ENTIRE AGREEMENT

These Terms, together with the TripTether Privacy Policy and any additional terms expressly incorporated into the Service, constitute the entire agreement between you and TripTether concerning your use of the Service. They supersede prior or contemporaneous agreements concerning the same subject matter. If additional terms apply to a specific feature, those terms will supplement these Terms.

31. CHANGES TO THESE TERMS

TripTether may update these Terms from time to time. When changes are material, TripTether may provide notice and, where appropriate, require affirmative acceptance of the updated Terms before continued use. The updated Terms will identify the applicable effective date. Your continued use of the Service after an updated version becomes effective constitutes acceptance only to the extent permitted by applicable law and subject to any required affirmative acceptance.

32. ELECTRONIC ACCEPTANCE AND RECORDS

You agree that clicking an acceptance button, checking an acceptance box, or otherwise electronically accepting these Terms constitutes your electronic signature and acceptance of this Agreement to the extent permitted by law.

TripTether may maintain electronic records showing the account associated with acceptance; the date and time of acceptance; the version of the Terms accepted; the acceptance event; the identity of the account holder; and any additional information reasonably necessary to document acceptance.

You consent to receiving contractual notices and other communications electronically.

34. PARENT / GUARDIAN ACKNOWLEDGMENT

This section summarizes, in plain language, what parents and guardians agree to. The specific representations, medical disclosures, and signature for each Minor Rider are collected in the separate TripTether Parent/Guardian Minor Rider Agreement, which is the document that must be completed before that Minor Rider is added to the Service.

By adding or permitting a Minor Rider to participate in TripTether, I acknowledge and agree that: I am the Minor Rider's parent or legal guardian, or otherwise have legally sufficient authority to act on the Minor Rider's behalf; I have read these Terms; I understand that TripTether does not provide transportation; I understand that TripTether does not screen or verify drivers or vehicles; I independently decide whether my child will participate in a particular carpool; I independently decide whom I trust to transport my child; I understand that driving and riding in motor vehicles involve risks, including serious injury and death; I am responsible for communicating relevant safety information concerning my child to the appropriate driver; I understand that TripTether does not supervise my child during transportation; and I agree to the applicable release, assumption-of-risk, indemnification, disclaimer, limitation-of-liability, and dispute-resolution provisions of these Terms to the maximum extent permitted by law.

35. DRIVER ACKNOWLEDGMENT

This section summarizes, in plain language, what drivers agree to. The specific representations and signature for drivers are collected in the separate TripTether Driver Acknowledgment and Carpool Safety Agreement, which is the document that must be completed before a user drives as part of a carpool.

If you participate as a driver, you acknowledge that you are responsible for your driving; you have a valid driver's license; you are legally authorized to operate the vehicle; you maintain legally required automobile liability insurance; you are responsible for determining whether your insurance covers passengers participating in a carpool; you are responsible for the safety and legal operation of your vehicle; you will comply with applicable traffic and child-restraint laws; you will not drive while impaired or dangerously fatigued; you will not engage in prohibited distracted driving; TripTether does not supervise, monitor, inspect, or control your driving; and TripTether is not your employer, transportation provider, agent, or principal.

36. FINAL ACKNOWLEDGMENT

BY CLICKING “I AGREE,” CREATING AN ACCOUNT, ADDING A MINOR RIDER, JOINING A CARPOOL, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND AGREE TO BE BOUND BY THEM.

YOU UNDERSTAND THAT TRIPTETHER IS A SOFTWARE COORDINATION PLATFORM AND DOES NOT PROVIDE OR CONTROL TRANSPORTATION.

YOU UNDERSTAND THAT TRIPTETHER DOES NOT SCREEN OR VERIFY DRIVERS, RIDERS, OR VEHICLES.

YOU UNDERSTAND THAT PARTICIPATING IN MOTOR-VEHICLE TRANSPORTATION INVOLVES RISKS, INCLUDING SERIOUS INJURY AND DEATH.

YOU AGREE TO THE ASSUMPTION-OF-RISK, RELEASE, INDEMNIFICATION, LIMITATION-OF-LIABILITY, AND DISPUTE-RESOLUTION PROVISIONS OF THESE TERMS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
